Constructly Subscription Billing Policy

Constructly subscriptions are billed monthly in advance. New customer subscriptions include an introductory promotional period of three (3) calendar months at no charge ("Promotional Period"). The Promotional Period begins on the date your account is activated. Your account activation date becomes your recurring monthly billing date, and your subscription will automatically renew on the same calendar day each month. Upon expiration of the Promotional Period, your paid subscription will automatically begin, and your designated payment method will be charged on your recurring monthly billing date unless your subscription has been canceled before the end of the Promotional Period. If your recurring billing date falls on a day that does not exist in a given month (such as the 29th, 30th, or 31st), your payment will be processed on the last calendar day of that month.

 

By activating your account, you authorize Constructly to automatically charge your designated payment method for all applicable subscription fees upon expiration of the Promotional Period and on each recurring monthly billing date thereafter.

 

Customers are responsible for maintaining a valid payment method and ensuring payments are successfully processed.

 

If a payment is unsuccessful, your account will remain active for five (5) calendar days to allow you to update your payment information or submit payment.

 

If payment is not received by the end of the five (5) day grace period, Constructly may suspend access to the platform until all outstanding subscription fees have been paid in full.

 

Accounts that remain unpaid for thirty (30) calendar days after the original billing date of any unpaid invoice may be canceled at the sole discretion of Constructly. Constructly reserves the right to terminate subscriptions for accounts with unresolved outstanding balances.

 

Suspended accounts will be reactivated once all outstanding subscription fees have been paid and payment has been successfully processed.

 

Constructly reserves the right to modify these billing terms at any time. Continued use of the platform constitutes acceptance of the current Subscription Billing Policy.

Cancellation Policy

You may cancel your Constructly plan at any time by logging into your account, going to Account Settings, and selecting Cancel Plan.

If you cancel during your 3-month free trial, there is no charge. No payment method is required during the free trial.

Once your cancellation is processed, your subscription will not continue beyond the end of your trial period, and your access to Constructly will end.

Equipment Replacement Policy

To support daily operations, Constructly provides each branch with one (1) tablet and two (2) mobile devices as part of the subscription service. All equipment remains the property of Constructly and is provided solely for business use while the subscription is active.

 

Mobile Devices

 

Mobile devices are intended for daily field use and may occasionally become lost or damaged. If a mobile device is lost, the branch is not required to contact Constructly directly. Instead, the device should be marked as Lost within the Constructly platform. Once the device has been reported as lost, Constructly will remotely disable the device and arrange for a replacement.

 

A $40.00 replacement fee will be charged for each lost or damaged mobile device.

 

Tablets

 

Each branch is provided with one (1) tablet for in-office use. If a tablet is lost, stolen, damaged, or otherwise becomes inoperable, the branch must notify Constructly as soon as reasonably possible so the device can be disabled, documented, and replaced.

 

A $200.00 replacement fee will be charged for each lost, stolen, or damaged tablet requiring replacement.

 

Replacement Equipment

 

Replacement equipment will be shipped after the lost or damaged device has been reported and the applicable replacement fee has been assessed. Constructly reserves the right to require additional information regarding lost, stolen, or damaged equipment when necessary.

 

Constructly reserves the right to modify this Equipment Replacement Policy at any time. Continued use of Constructly constitutes acceptance of the current policy.

Ownership of Customer Data

All customer data entered into, uploaded to, or generated through the Constructly platform, including but not limited to employee records, applicant information, client information, documents, reports, communications, and other business-related data ("Customer Data"), shall remain the sole and exclusive property of the customer. Nothing contained in this Agreement shall be construed as transferring ownership of Customer Data to Constructly.

 

Limited License

 

The customer grants Constructly a limited, non-exclusive, non-transferable license to host, store, process, transmit, back up, and otherwise use Customer Data solely as necessary to provide, maintain, secure, improve, and support the Constructly platform and its related services.

 

Access During Subscription

 

Customers shall have full access to their Customer Data through the Constructly platform during any active subscription that is in good standing. Standard reporting and data export features included within the platform are available at no additional charge.

 

Data Export Requests

 

Upon request, customers may obtain a copy of their Customer Data in a standard, commercially reasonable electronic format. Constructly reserves the right to charge reasonable service fees for custom data exports, expedited requests, specialized formatting, data conversions, or unusually large-volume export requests requiring manual processing or technical resources.

 

Suspended Accounts

 

If an account is suspended due to non-payment or any material breach of this Agreement, access to the platform and Customer Data may be temporarily suspended until the account has been restored to good standing. Constructly shall not be obligated to provide access to Customer Data during any period of suspension except as otherwise required by applicable law.

 

Termination and Data Retention

 

Following cancellation or termination of a subscription, Constructly will retain Customer Data for a period of thirty (30) calendar days. During this retention period, the customer may request a final export of its Customer Data. After the expiration of the thirty (30) day retention period, Constructly may permanently delete, destroy, anonymize, or otherwise dispose of Customer Data without further notice or liability, unless a longer retention period is required by applicable law.

 

No Obligation to Retain Data

 

The customer acknowledges that Constructly has no obligation to retain Customer Data beyond the stated retention period and shall not be liable for the deletion or destruction of Customer Data after such period has expired.

 

Confidentiality and Security

 

Constructly will use commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction. While Constructly employs industry-standard security measures, no electronic storage or transmission system can be guaranteed to be completely secure.

 

Policy Modifications

 

Constructly reserves the right to amend or modify this Customer Data Ownership, Access, and Retention Policy at any time. Continued use of the Agency OS platform following any modification constitutes acceptance of the revised policy.

These Terms of Service ("Agreement") constitute a legally binding agreement between Constructly ("Constructly," "Company," "we," "our," or "us") and the individual or business entity ("Customer," "you," or "your") accessing or using the Constructly software platform, websites, mobile applications, hardware, and related services (collectively, the "Services").
 
By creating an account, executing a subscription agreement, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service.
 
1. Eligibility
 
You represent and warrant that you possess the legal authority to enter into this Agreement on behalf of yourself or the business entity you represent.
 
2. Subscription Services
 
Constructly provides subscription-based software and related services for staffing agencies and related businesses. Access to the Services is provided solely during an active subscription that remains in good standing.
 
3. Billing and Payment
 
Subscriptions are billed monthly in advance beginning on the date the Customer's account is activated. The activation date becomes the recurring monthly billing date.
 
Payments are due on each recurring billing date.
 
Customers are responsible for maintaining valid payment information at all times.
 
Constructly provides a five (5) calendar day grace period following an unsuccessful payment.
 
If payment remains outstanding after the grace period, Constructly may suspend access to the Services without further notice.
 
Accounts remaining unpaid for thirty (30) calendar days following the original billing date may be terminated.
 
The Customer remains responsible for all outstanding charges incurred prior to termination.
 
4. Equipment
 
Constructly may provide certain equipment, including tablets, mobile devices, accessories, or other hardware, to facilitate use of the Services.
 
All equipment remains the exclusive property of Constructly.
 
Customers shall exercise reasonable care in safeguarding all Company-owned equipment.
 
Lost or damaged mobile devices are subject to a replacement fee of $40.00 per device.
 
Lost, stolen, or damaged tablets are subject to a replacement fee of $200.00 per tablet.
 
Constructly reserves the right to modify replacement fees upon prior notice.
 
5. Customer Data
 
All Customer Data remains the exclusive property of the Customer.
 
Customer grants Constructly a limited license to store, host, process, transmit, back up, and otherwise use Customer Data solely for purposes of providing, maintaining, securing, improving, and supporting the Services.
 
During an active subscription, Customers may access and export their Customer Data using the standard functionality provided within the platform.
 
Following cancellation or termination, Customer Data will be retained for thirty (30) calendar days. During this period, Customers may request a final export of their Customer Data.
 
Upon expiration of the retention period, Constructly may permanently delete Customer Data without further notice or liability.
 
6. Acceptable Use
 
Customers agree not to:
 
- Use the Services for any unlawful purpose.
- Attempt to gain unauthorized access to Constructly systems.
- Reverse engineer, copy, modify, or create derivative works of the Services.
- Interfere with the operation or security of the Services.
- Upload malicious software, viruses, or harmful code.
- Use the Services in a manner that infringes upon the rights of any third party.
 
7. Intellectual Property
 
The Constructly platform, software, source code, documentation, trademarks, logos, workflows, designs, and all related intellectual property are and shall remain the exclusive property of Constructly.
 
No ownership rights are transferred to the Customer.
 
8. Confidentiality
 
Each party agrees to maintain the confidentiality of all non-public information obtained through the business relationship and shall use such information solely for purposes consistent with this Agreement.
 
9. Service Availability
 
Constructly will use commercially reasonable efforts to maintain reliable service availability but does not warrant uninterrupted or error-free operation.
 
Maintenance, upgrades, internet outages, force majeure events, or circumstances beyond Constructly's reasonable control may temporarily interrupt the Services.
 
10. Disclaimer of Warranties
 
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENCY OS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
 
11. Limitation of Liability
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Constructly SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.
 
IN NO EVENT SHALL THE TOTAL LIABILITY OF Constructly EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
 
12. Indemnification
 
Customer agrees to defend, indemnify, and hold harmless Constructly, its owners, officers, directors, employees, affiliates, successors, and assigns from and against any claims, damages, liabilities, costs, expenses, or attorneys' fees arising out of Customer's use of the Services, violation of these Terms, negligence, misconduct, or violation of applicable law.
 
13. Suspension and Termination
 
Constructly may suspend or terminate access immediately if the Customer:
 
- Fails to pay subscription fees.
- Violates these Terms of Service.
- Engages in fraudulent or unlawful conduct.
- Compromises the security or integrity of the Services.
 
Termination shall not relieve the Customer of any payment obligations incurred prior to termination.
 
14. Governing Law
 
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
 
Any legal action arising from or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of Florida.
 
15. Modifications
 
Constructly reserves the right to modify these Terms of Service at any time. Updated Terms shall become effective upon publication within the Services or on the Constructly website. Continued use of the Services constitutes acceptance of the revised Terms.
 
16. Entire Agreement
 
These Terms constitute the entire agreement between Constructly and the Customer concerning the Services and supersede all prior oral or written agreements, representations, negotiations, and understandings.
 
17. Severability
 
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
 
18. Waiver
 
Failure by Constructly to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision in the future.
